ソフトバンクがWeWork Japanの事業を承継

ソフトバンク株式会社（本社：東京都港区、代表取締役 社長執行役員 兼 CEO：宮川 潤一、以下「ソフトバンク」）は、このたびWeWork Japan 合同会社（本社：東京都港区、最高経営責任者：ジョニー・ユー、以下「WeWork Japan」）の事業を、ソフトバンクの完全子会社を通じて承継することになりましたのでお知らせします。ソフトバンクは、WeWork Japanのサービスの継続的提供と経営体制を全面的にサポートします。加えて、ソフトバンクのスマートビルやスマートオフィスなどのDX（デジタルトランスフォーメーション）に関する施策などと連携してシナジーの創出を推進し、将来の事業成長を目指します。

事業承継に向けたプロセスとして、WeWork Japanは本日、東京地方裁判所へ民事再生の申立てを行うとともに、開始決定を得ました。WeWork Japanはスポンサー型による再生スキームを目指しており、ソフトバンクがスポンサーとなる旨の基本合意書を本日、両社間で締結済みです。今後はWeWork Japanの全事業を、ソフトバンクが新たに設立した100%子会社「WWJ株式会社（ダブルダブルジェー）」に対して、吸収分割の方法により移管する予定です。また、事業に係る債務（再生債権となるものを含む）については、吸収分割の実行前はWeWork Japan、吸収分割の実行後は「WWJ株式会社」が引き続き支払うことを計画しており、現在WeWork Japanが契約中の賃借物件の賃料を含め遅滞なく支払いを実施する予定です。

吸収分割による子会社「WWJ株式会社」への事業移管の完了は、WeWork Japanの民事再生手続きにおける監督委員の同意や裁判所の許可、関係者の合意を条件として、2024年4月中を見込んでいます。

事業承継のプロセスが継続する期間においても、現在運営中の拠点に入居中および入居予定のWeWork Japanメンバーに対するサービスレベルや契約条件に変更はなく、これまで通りサービスを提供します。

SoftBank Corp. ( “SoftBank”) announced today that it will take over the business of WeWork Japan GK (“WeWork Japan”) through a wholly-owned subsidiary of SoftBank. SoftBank will continue to fully support the provision of WeWork Japan’s services and its management team. In addition, the two companies will collaborate on SoftBank’s digital transformation (DX) initiatives for smart buildings and smart offices to generate synergies and achieve future business growth.

As part of this transition process, WeWork Japan today filed a petition for civil rehabilitation (under Japan’s Civil Rehabilitation Law that enables restructuring proceedings) with the Tokyo District Court and obtained a decision to commence with rehabilitation proceedings. WeWork Japan is aiming for a sponsored rehabilitation scheme, and a basic agreement was signed today between the two companies under which SoftBank will become the sponsor. All of WeWork Japan’s operations will be transferred to “WWJ Corp.”, a wholly-owned subsidiary newly established by SoftBank, through an absorption-type demerger. Regarding the debts and liabilities related to the WeWork Japan business (including those that will become rehabilitation claims), it is planned that WeWork Japan will continue to pay them until the execution of the absorption-type demerger and WWJ Corp will continue to pay them after the execution of the absorption-type demerger. Rent payments for leased properties currently under contract by WeWork Japan will continue to be paid without delay.

The business transfer to “WWJ Corp.” is expected to complete by the end of April 2024, subject to the consent of the supervisors of WeWork Japan’s civil rehabilitation proceedings, court approval, and the agreement of all parties involved.

During the period of the business succession process, we expect no changes to service levels or contract terms for current WeWork Japan members and members who are planning to move into currently operated locations, and services will continue to be provided as before.
